Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HuddleSet platform and related services ("Service") operated by iBizAnalytics, LLC doing business as HuddleSet ("Company," "we," "us," or "our"). Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By accessing or using HuddleSet, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all users, including beta participants, visitors, and others who access the Service.

2. Beta Program

HuddleSet is currently offered as a beta product. As a beta user:

• You acknowledge that the Service is still under active development and may contain bugs, errors, or incomplete features.
• You agree to provide feedback that may be used to improve the Service.
• Access is provided at no cost during the beta period. Pricing terms for general availability will be communicated separately.
• We reserve the right to modify, suspend, or discontinue any aspect of the beta program at any time without notice.
• Beta access does not guarantee access to the generally available version of the Service.

3. Description of Service

HuddleSet provides dental practices with a real-time practice intelligence platform that connects to practice management systems to deliver plain-language morning briefings, data insights, and natural language query capabilities. The Service is designed for use by dental practice owners, office managers, and authorized staff.

4. Eligibility

You must be at least 18 years of age and authorized to act on behalf of your dental practice to use the Service. By using the Service, you represent and warrant that you meet these requirements.

5. Account Registration

To access the Service, you may be required to provide certain information including your name, practice name, email address, and practice management system details. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

6. Data Access and HIPAA

HuddleSet connects to your practice management system using a read-only integration. We take the security and privacy of patient data seriously.

• Our connection to your PMS is read-only. We do not write to, modify, or delete any data in your practice management system.
• We do not store individually identifiable patient records on our servers beyond what is necessary to generate your briefing.
• Beta users are responsible for ensuring their use of HuddleSet complies with applicable HIPAA requirements within their practice.
• A Business Associate Agreement (BAA) is available upon request. Please contact us at [email protected] to request a BAA before connecting patient data to the Service.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit any harmful, offensive, or disruptive content.
• Share your account credentials with unauthorized parties.
• Use the Service in any way that could damage, disable, or impair the Service.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of iBizAnalytics, LLC. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

Your practice data remains your property at all times. By connecting your practice management system, you grant us a limited, non-exclusive license to access and process your data solely for the purpose of providing the Service to you.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. The information provided by the Service, including morning briefings and data insights, is for informational purposes only and should not be relied upon as the sole basis for clinical or financial decisions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, iBizAnalytics, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.
